These Website Terms and Conditions (the “Terms”) govern your access to and use of the websites, webpages, resources, forms, and other online content operated by Interbit Data, Inc. (“Interbit Data,” “we,” “us,” or “our”) that link to these Terms (collectively, the “Site”).

Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Scope of These Terms

These Terms apply only to your use of the Site. They do not govern your purchase, licensing, implementation, support, or use of Interbit Data software, products, or professional services. Those offerings are governed by the applicable master agreement, license agreement, business associate agreement, statement of work, order form, support agreement, or other written contract between Interbit Data and the customer. If these Terms conflict with a separate written agreement governing an Interbit Data product or service, the separate written agreement controls.

2. Eligibility and Authority

The Site is intended for adults and business users. By using the Site, you represent that you are at least 18 years old and legally able to agree to these Terms. If you use the Site on behalf of a company, healthcare organization, or other entity, you represent that you have authority to bind that entity to these Terms.

3. Permitted Use

Subject to these Terms, Interbit Data grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for lawful business and informational purposes.

You may download or print publicly available Site materials for your organization’s internal, noncommercial use, provided that you do not remove copyright, trademark, or other proprietary notices. No other rights are granted except as expressly stated in these Terms or in a separate written agreement with Interbit Data.

4. Prohibited Conduct

You may not use the Site to:

  • violate any applicable law, regulation, contractual obligation, or third-party right;
  • gain or attempt to gain unauthorized access to the Site, another user’s account, or any related system, server, or network;
  • bypass or interfere with authentication, security, access-control, rate-limiting, or technical measures;
  • introduce viruses, ransomware, malware, malicious code, or other harmful material;
  • probe, scan, test, or exploit the vulnerability of the Site or any related system without our prior written authorization;
  • scrape, harvest, crawl, index, copy, or extract Site content or data through automated means, except through generally available search-engine tools that follow our published instructions;
  • reverse engineer, decompile, disassemble, or attempt to derive source code from any software or technology made available through the Site, except where applicable law expressly permits it;
  • impersonate another person or entity or misrepresent your identity, affiliation, or authority;
  • submit false, misleading, defamatory, infringing, unlawful, or fraudulent content or information;
  • send unsolicited commercial messages, collect email addresses, or use Site information for spam or unauthorized marketing; or
  • use the Site in a manner that could damage, disable, overburden, disrupt, or impair the Site or interfere with another person’s use of it.

5. Accounts and Restricted Areas

Certain portions of the Site, including customer-support or knowledge-base resources, may require an account or authorized credentials. You are responsible for maintaining the confidentiality of your credentials and for activity occurring under your account. You may not share credentials with unauthorized individuals.

You agree to provide accurate information and promptly notify Interbit Data if you believe an account or credential has been compromised. We may suspend or restrict access to protect the Site, our customers, our systems, or other users or if we reasonably believe these Terms or an applicable agreement have been violated.

Access to customer-support systems may also be governed by a separate customer or support agreement. If so, that agreement controls.

6. Do Not Submit Protected Health Information

The public Site, including general contact, newsletter, event-registration, and demo-request forms, is not intended to receive protected health information (“PHI”), patient records, payment-card data, passwords, security credentials, or other highly sensitive or confidential information.

Do not submit PHI or other sensitive information through public Site forms or ordinary email. Customers that need to communicate sensitive information to Interbit Data should use the secure, authorized support or communication channel specified in their agreement or provided by Interbit Data. Submission of information through the public Site does not create a business associate relationship or expand the scope of any existing business associate agreement.

7. Privacy and Cookies

Our collection and use of personal information through the Site are described in our Privacy Policy and any cookie notice or consent tool displayed on the Site. Those notices are incorporated into these Terms by reference.

You are responsible for ensuring that information you submit through the Site is accurate and that you have the authority and any required consent to provide it.

8. Intellectual Property

The Site and its content—including text, designs, graphics, photographs, videos, software, documentation, downloads, logos, product names, trademarks, service marks, and the selection and arrangement of those materials—are owned by or licensed to Interbit Data and are protected by intellectual-property and other laws.

Interbit Data, Beacon, Beacon Delivery, Beacon Downtime, Beacon Navigator, PatientPath, associated logos and slogans, and other Interbit Data marks are trademarks or service marks of Interbit Data. Other names and marks appearing on the Site belong to their respective owners. Nothing on the Site grants you a license or right to use any trademark, logo, or other proprietary material except as expressly permitted in these Terms or in writing by the applicable owner.

You may not copy, modify, reproduce, republish, upload, post, transmit, distribute, sell, license, create derivative works from, publicly display, or commercially exploit Site content without our prior written permission, except as expressly permitted by law or these Terms.

9. Feedback and Other Submissions

If you voluntarily submit ideas, comments, suggestions, or other feedback about the Site or Interbit Data’s products or services, you grant Interbit Data a worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use and incorporate that feedback without restriction or compensation to you.

Do not submit feedback or other content that you consider confidential or proprietary. This section does not change how we handle personal information under our Privacy Policy or how confidential information is treated under a separate written agreement.

10. Informational Content; No Professional Advice

Site content is provided for general informational and educational purposes. It is not medical, clinical, legal, regulatory, cybersecurity, accounting, or other professional advice, and it should not be relied upon as a substitute for advice from qualified professionals.

Healthcare, technology, security, regulatory, and operational-continuity requirements vary by organization and may change over time. You are responsible for evaluating information in light of your organization’s circumstances, applicable laws, security requirements, clinical policies, and contractual obligations. References to product capabilities, expected results, case studies, or industry practices are illustrative and do not guarantee specific outcomes.

11. Third-Party Websites and Resources

The Site may link to or display content from third-party websites, platforms, services, or resources. Interbit Data does not control and is not responsible for third-party content, availability, security, privacy practices, or terms. A link does not imply endorsement unless we expressly state otherwise.

Your use of third-party websites and services is at your own risk and is governed by the third party’s terms and privacy policies.

12. Site Availability and Changes

We may update, modify, suspend, restrict, or discontinue any part of the Site at any time. We do not guarantee that the Site or any content will always be available, uninterrupted, timely, secure, or error-free.

We may correct errors or update Site content without notice. Although we work to provide useful and accurate information, Site content may become incomplete, outdated, or inaccurate. You should confirm information that is important to a business, technical, security, or clinical decision directly with Interbit Data or another appropriate source.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” INTERBIT DATA DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

INTERBIT DATA DOES NOT WARRANT THAT THE SITE WILL MEET YOUR REQUIREMENTS; THAT ACCESS WILL BE UNINTERRUPTED OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SITE, ITS SERVERS, OR CONTENT WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERBIT DATA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL; BUSINESS INTERRUPTION; OR COST OF SUBSTITUTE SERVICES ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF INTERBIT DATA AND THE OTHER PARTIES IDENTIFIED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED US$100.

These limitations do not apply to liability that cannot lawfully be excluded or limited. Separate agreements governing Interbit Data products and services may contain different warranties, remedies, and liability limits, and those separate provisions control for those offerings.

15. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Interbit Data and its officers, directors, employees, affiliates, licensors, and service providers from claims, damages, judgments, liabilities, losses, costs, and reasonable attorneys’ fees arising from or relating to:

  • your unlawful or unauthorized use of the Site;
  • your violation of these Terms;
  • content or information you submit through the Site; or
  • your violation of another person’s rights.

Interbit Data may control the defense and settlement of a covered claim, and you agree to reasonably cooperate. You may not settle a claim in a manner that admits fault by or imposes obligations on Interbit Data without our prior written consent.

16. Suspension and Termination

We may suspend or terminate your access to all or part of the Site if we reasonably believe that you have violated these Terms, created a security or legal risk, infringed another person’s rights, or interfered with the Site’s operation.

Upon termination, the permission granted to you under these Terms ends. Provisions that by their nature should survive termination—including those concerning intellectual property, feedback, disclaimers, liability, indemnification, governing law, and general terms—will remain in effect.

17. Governing Law and Venue

These Terms and any dispute arising from or relating to the Site are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles.

Unless the parties agree otherwise in writing, any legal action relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Middlesex County, Massachusetts. You and Interbit Data consent to the personal jurisdiction of those courts. This section does not prevent either party from seeking temporary or injunctive relief in another appropriate jurisdiction to protect intellectual-property, confidential-information, or security interests.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised Terms on the Site and update the Effective Date above. Changes become effective when posted unless a later date is stated.

Your continued use of the Site after revised Terms become effective constitutes acceptance of those revisions. If you do not agree to the revised Terms, you must stop using the Site.

19. General Terms

Entire Agreement. These Terms and the policies incorporated by reference constitute the entire agreement between you and Interbit Data regarding use of the Site. They do not replace any separate written agreement governing Interbit Data products, services, support, confidentiality, data processing, or business associate obligations.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

No Waiver. A failure to enforce any provision is not a waiver of that provision or the right to enforce it later.

Assignment. You may not assign or transfer these Terms without our prior written consent. Interbit Data may assign these Terms in connection with a merger, reorganization, sale of assets, financing, or operation of law.

No Agency. These Terms do not create an agency, employment, partnership, fiduciary, or joint-venture relationship between you and Interbit Data.

Force Majeure. Interbit Data is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, acts of government, labor disputes, utility or telecommunications failures, internet disruptions, cyberattacks, public-health emergencies, or acts of war or terrorism.

Headings. Headings are for convenience only and do not affect interpretation.
